Five Below Property Buyers

Tenant-specific net lease disposition

Selling a Five Below property is not simply a matter of finding someone who likes the tenant name. The strongest buyer match depends on the lease, rent, guaranty, location, building, financing environment and the property’s likely resale story.

The seller’s real question: Which buyers will understand this particular Five Below discount-retail property, and what information will they need before they can price it with conviction?

Who buys Five Below properties?

Five Below real estate can attract several pools of capital, but they do not all underwrite it the same way. Some buyers emphasize dependable income and remaining lease term. Others focus on financing, replacement rent, land value or the property’s reuse if the tenant eventually leaves.

  • Private net-lease and 1031 exchange buyers seeking a public retail tenant when the lease entity, guaranty and firm term are documented
  • Retail funds and family offices that understand Five Below's growth-store economics, prototype changes and power-center co-tenancy
  • Shopping-center owners who value a junior-anchor or inline tenant that can draw families and younger consumers across a broader tenant mix
  • Local investors who underwrite replacement rent, subdivision and backfill by discount, pet, fitness, beauty, medical or other neighborhood-retail users
  • Residual-value buyers willing to price a short lease, oversized older store or dark location from the box, center and parcel rather than the logo

A credible marketing process should identify which of those buyer groups fits the actual property before broadly circulating it. A long-term corporate lease in a major market is a different product from a short-term lease, a high-rent location or a specialized building in a smaller trade area.

Sell your Five Below property to the right buyer

“Five Below buyer” is not one profile. A 1031 exchange buyer may prioritize certainty and timing. A private investor may emphasize financeable lease term. A fund may require a specific guaranty, market size and check size. A local operator or developer may see more value in the site than in the remaining income. The seller’s job is to present the property to the capital most likely to value its actual strengths.

What determines the value of a Five Below property?

Cap rate is the visible number. The buyer’s confidence in the income and the real estate underneath it is what produces that number.

Tenant and guaranty

Five Below is publicly traded, but enterprise visibility is not a substitute for the lease. Buyers identify the address-level tenant, guarantor and assignment chain before attributing parent-company support to the rent.

Lease and rent

Buyers review firm term, options, rent steps and recoveries alongside go-dark, relocation, contraction, recapture and assignment rights. They also identify landlord exposure for roof, structure, HVAC and common areas and compare contract rent with realistic replacement rent.

Location and reuse

Residual value depends on the box and center: storefront, depth, clear height, loading, parking, access, signage, utilities, co-tenancy and subdivision cost. A flexible power-center suite can attract several users; a deep constrained box can be expensive to reposition.

Exit buyer

A credible sale package separates the public brand from the legal rent obligation and an operating store from transferable real-estate value. Complete lease, condition, equipment and reuse evidence reduces the uncertainty buyers otherwise price into the deal.

  • The exact address-level tenant and written guarantor, including whether Five Below, Inc. or a subsidiary actually supports the rent obligation
  • Whether the premises is a current prototype, an older or oversized store, an inline suite, junior-anchor box, freestanding building, dark store or former location
  • Remaining firm term, increases, options, assignment and subletting rights, go-dark, relocation, contraction, recapture, termination, purchase and first-refusal provisions
  • Contract rent and recoveries compared with replacement rent after downtime, concessions, tenant improvements, commissions and any subdivision work
  • Storefront width, depth, clear height, loading, receiving and stockroom layout, parking, visibility, pylon rights and customer access
  • REA provisions, use exclusives, prohibited uses, co-tenancy thresholds, operating covenants, CAM administration and landlord consent rights affecting another occupant
  • Responsibility for roof, structure, HVAC, utilities, fire systems, storefront, paving and common areas, including expense caps and deferred capital work
  • Ownership and surrender treatment for shelving, checkout fixtures, security, data cabling, signs, displays and other specialty-retail improvements
  • Trade-area demographics, nearby Five Below and competing value retailers, center sales draw and realistic demand for the exact suite size
  • Financeability today and the guaranty, lease runway, replacement rent and residual real-estate utility likely to remain at the buyer's exit

Accelerated depreciation potential

Moderate, property-specific. A fee-simple Five Below acquisition may include landlord-owned shorter-life paving, curbs, landscaping, site lighting, signage foundations, removable finishes, dedicated electrical distribution and qualifying interior buildout. Shelving, checkout fixtures, security and data systems, displays and branded signs may instead be tenant-owned or removed at surrender; land and the conventional building shell remain nondepreciable or long-life.

Potential depends on which site and interior components transfer, their basis and whether the buyer acquires an operating store, dark box or stripped suite. The lease, ownership schedule, purchase-price allocation and a property-level cost-segregation study must establish treatment; no numerical deduction follows from the Five Below name.

Accelerated depreciation is taxpayer- and property-specific. Land is not depreciable, eligibility can depend on a cost-segregation study, and passive-loss, basis, placed-in-service and recapture rules may affect the result. Buyers should confirm treatment with their own CPA or tax adviser.

The seller package buyers need

Good buyers move faster when the story is documented. Before discussing price, assemble the material that lets a buyer separate corporate credit, lease economics and residual real estate value.

  • Executed lease, all amendments, guaranty, assignments, estoppel, commencement confirmation and any recognition or non-disturbance agreement
  • Exact tenant and guarantor legal names, current rent and recoveries, increase schedule, option terms and every go-dark, relocation, contraction, recapture, termination, purchase or first-refusal right
  • Site plan, survey, title, zoning and use approvals, certificate of occupancy, REA, reciprocal access, parking and signage agreements, exclusives and prohibited-use schedule
  • Building and premises dimensions, storefront width, depth, clear height, loading and receiving configuration, stockroom area, parking and utility capacities
  • Roof, HVAC, structure, fire-life-safety, paving and common-area histories, open work orders, landlord obligations, expense caps and recent capital work
  • An ownership and surrender schedule for shelving, counters, security gates, cameras, data systems, signs, displays and removable interior improvements
  • Available store-status or renewal correspondence, nearby Five Below locations, competing value retailers, replacement-rent evidence and realistic backfill or subdivision users
  • Seller timing, debt payoff, exchange requirements, confidentiality needs and the diligence conditions necessary for a dependable closing

Missing information does not always kill a transaction, but it usually increases uncertainty. Buyers price uncertainty through a wider cap rate, a longer diligence period, additional contingencies or a lower probability of closing.

What a credible buyer-matching process should produce

Pricing range

A supportable range tied to the lease, current income, comparable offerings, debt conditions and property-specific risk rather than a generic tenant cap rate.

Buyer map

A prioritized view of the 1031, private, institutional and local-capital pools most likely to fit the property’s price, lease and real-estate profile.

Friction audit

The missing documents, landlord obligations, rent issues, site constraints and tax questions likely to slow diligence or reduce certainty.

Exit strategy

A decision on whether to market broadly, approach a focused buyer group, solve a lease or documentation issue first, or wait for a stronger selling window.

Where Five Below sellers can misread the market

  • The Five Below storefront does not by itself establish that the public parent guarantees the lease; buyers verify the legal tenant, guarantor, assignments and amendments.
  • Rapid unit growth and a recognizable concept do not prove address-level renewal. Buyers test the store format, trade area, nearby network, rent burden and strategic role.
  • A tenant may retain go-dark, relocation, contraction, assignment or termination rights even while the store is open, changing practical income duration and center traffic.
  • Sales or customer traffic do not establish replacement rent. Buyers deduct downtime, free rent, commissions, improvements and conversion costs from the backfill case.
  • An older, deep or oversized box may require subdivision, new storefronts, utilities, HVAC zoning, loading changes or fire-egress work before another user can occupy it.
  • REA exclusives, prohibited uses, co-tenancy clauses, parking allocations and sign rights can block otherwise plausible discount, fitness, medical or specialty-retail users.
  • Shelving, security, point-of-sale, data, signs and branded displays may be tenant-owned and removable, leaving a different delivery condition than photographs imply.
  • A headline Five Below cap rate cannot cure limited guaranty support, short lease runway, above-market rent, landlord capital exposure or weak replacement demand.

The most useful buyer is not necessarily the person who quotes the highest preliminary price. It is the buyer whose capital, diligence requirements and closing assumptions fit the property being sold.
